1. Agreement to terms

These Terms of Service ("Terms") are a binding agreement between you ("you", "User") and CodeNeutronAI("CodeNeutronAI", "we", "us", or "our").

By creating an account, downloading or using any CodeNeutron application, or accessing our SaaS products at *.codeneutronai.com, you agree to these Terms and our Privacy Policy. If you do not agree, do not use our services.

If you use our services on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

2. Services covered

These Terms apply to the following products (web and mobile):

• CodeNeutron Finance — expense.codeneutronai.com
• CodeNeutron CRM — crm.codeneutronai.com
• CodeNeutron LMS — lms.codeneutronai.com
• CodeNeutron HRMS — hrms.codeneutronai.com
• CodeNeutron FMS — expense.codeneutronai.com
• Dedicated AI Agents — custom deployments for your business

Features, plans, and availability may vary by product and may change over time as we improve our platform.

3. Eligibility

You must be at least 18 years old to create an account and use our services. By using our services, you represent that you meet this requirement and that all registration information you provide is accurate and current.

4. Account registration and security

• You are responsible for maintaining the confidentiality of your login credentials and API tokens.
• You are responsible for all activity that occurs under your account.
• You must notify us promptly at info@codeneutronai.com if you suspect unauthorized access.
• We may suspend or terminate accounts that violate these Terms or pose a security risk.

5. Acceptable use

You agree not to:

• Use the services for any unlawful purpose or in violation of applicable laws
• Upload, transmit, or store malicious code, spam, or harmful content
• Attempt to gain unauthorized access to our systems, other accounts, or data
• Reverse engineer, decompile, or scrape the services except where permitted by law
• Interfere with or disrupt the integrity or performance of the services
• Use the services to harass, abuse, or harm others
• Resell or sublicense the services without our written permission
• Use automated means to access the services in a manner that exceeds reasonable use

For organization-managed products (CRM, LMS, HRMS), your employer or institution may impose additional policies that you must follow.

6. Subscriptions, fees, and payments

Some products are offered on free, trial, or paid subscription plans. Where fees apply:

• Prices and billing cycles are shown at the time of purchase or in your account settings.
• Payments are processed through third-party payment providers; their terms may also apply.
• Unless stated otherwise, subscriptions renew automatically until cancelled.
• Refunds are handled according to the plan or promotion under which you subscribed.
• We may change pricing with reasonable notice for future billing periods.

7. Your content and data

You retain ownership of content and data you submit to our services ("User Content"). You grant us a limited license to host, process, and display User Content solely to operate, maintain, and improve the services you use.

You are responsible for ensuring you have the rights to submit User Content and that it does not infringe third-party rights or violate law. We may remove content that violates these Terms or applicable law.

8. Intellectual property

CodeNeutronAI and its licensors own all rights in the services, including software, design, trademarks, and documentation. These Terms do not grant you any ownership rights—only a limited, non-exclusive, non-transferable license to use the services according to these Terms.

9. AI and automated features

Certain products (including Dedicated AI Agents) use artificial intelligence to generate responses or automate workflows. AI output may be inaccurate or incomplete. You should review important decisions and not rely solely on AI-generated content for legal, financial, medical, or employment decisions.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

11. Service availability and modifications

We strive to provide reliable services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. Scheduled maintenance and factors outside our control may cause temporary unavailability.

12. Termination

You may stop using our services at any time. You may request account deletion by contacting info@codeneutronai.com. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue a product (with notice where reasonable).

Upon termination, your right to use the services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will survive termination.

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will meet your specific requirements or produce particular business outcomes.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CODENEUTRONAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) INR 10,000 (or equivalent in your billing currency).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless CodeNeutronAI and its officers, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the services, your User Content, or your violation of these Terms or applicable law.

16. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Noida/Delhi, India.

Before initiating formal proceedings, the parties agree to attempt good-faith negotiation to resolve disputes.

17. Changes to these terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes may be communicated via email or in-app notice. Continued use after changes constitutes acceptance of the updated Terms.
